Terms of service
1. Who we are and who these terms are for
LÚMÉA Books ("the app") is published by LÚMÉA Apps ("we", "us"). These terms apply to the merchant who installs the app on a Shopify store and to everyone who uses it on that store's behalf ("you").
By installing or using the app you accept these terms and our privacy policy. If you use the app for a company, you confirm you may accept these terms for it. The app is for businesses only.
2. What the app does
The app reads your store's orders, refunds, transactions and Shopify Payments payouts and records them as journal entries in the QuickBooks Online company you connect, using the accounts you choose. When you click a "Create" button on the accounts page, it also creates the corresponding accounts in your QuickBooks company. It shows items it could not record and why. It never edits or deletes anything in QuickBooks.
The app is a bookkeeping tool, not an accountant. It does not give accounting, tax or legal advice, file tax returns or replace a professional review of your books.
3. Your responsibilities
- choosing the QuickBooks accounts, the first day to record and the other settings the entries rely on;
- reviewing your books, reconciling your bank accounts and making sure your accounting and tax filings are correct, ideally with an accountant;
- the decisions you make on items that need attention, including skipping an item;
- your own QuickBooks Online subscription and your agreement with Intuit, and your Shopify account.
4. Accuracy
We work hard to record every amount exactly, and the app refuses to record what it cannot explain instead of guessing. Still, the app depends on the data Shopify and QuickBooks provide and on your settings, and we do not guarantee that every entry is complete or correct for your situation, or any tax or financial result.
5. Other services
The app works with services we don't control: Shopify and Intuit QuickBooks Online. Their availability, changes, limits, prices and terms are theirs. We are not responsible for them. QuickBooks is a trademark of Intuit Inc.; the app is not affiliated with or endorsed by Intuit or Shopify.
6. Plans and billing
Plans and prices are shown in the app and on the Shopify App Store before you subscribe. Charges are made by Shopify on your Shopify invoice, in USD, until you cancel. Refunds follow Shopify's billing rules. You can cancel at any time by changing plan or uninstalling the app. We may change prices with at least 30 days' notice.
7. Acceptable use
Don't misuse the app. In particular, don't try to access other stores' data, overload, copy or reverse-engineer the service, or use it for anything illegal. We may suspend or end access to the app if you break these terms, don't pay, or put the service or other merchants at risk.
8. The service is provided "as is"
We work to keep the app available, secure and accurate, but it is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy, merchantability and uninterrupted or error-free operation, to the fullest extent permitted by law. We may change, add or remove features at any time.
9. Limits on our liability
To the fullest extent permitted by law:
- we are not liable for indirect, incidental, special or consequential losses, or for lost profits, tax penalties or interest, accounting or advisory fees, errors in your books or filings, loss of goodwill, or loss of data;
- our total liability for all claims relating to the app is limited to the fees you paid us for the app in the 12 months before the first claim, or USD 50 if you did not pay any fees.
Nothing in these terms limits liability that cannot be limited by law.
10. You cover us
You agree to defend and indemnify us against claims, losses and costs (including reasonable legal fees) that arise from your use of the app, your books and filings, the data you provide, or your breach of these terms or of any law.
11. Our rights in the app
The app, its software, design, texts and methods belong to us. You get a limited, non-exclusive, non-transferable right to use it while it is installed and you follow these terms. If you send us ideas or feedback, we may use them freely.
12. Ending
You can stop using the app at any time by uninstalling it, which also disconnects QuickBooks. Entries already written to QuickBooks stay in your company. Data we hold is deleted as described in our privacy policy. Sections 3 to 5 and 8 to 14 continue to apply after the end.
13. Events beyond our control
We are not responsible for delays or failures caused by events beyond our reasonable control, such as outages of hosting, internet, Shopify or Intuit, attacks, natural events or decisions of authorities.
14. Disputes and general terms
These terms are governed by the laws of the place where the publisher is established. Before any legal action, both parties agree to try to settle the dispute in good faith by email for at least 30 days. If part of these terms is found invalid, the rest stays in force. We may update these terms; the date at the top shows the latest version, and significant changes are announced in the app or by email.
